OVERVIEW

This website is operated by Palace & Co. Throughout these Terms, “Palace & Co.,” “we,” “us,” and “our” refer to Palace & Co. Palace & Co. offers this website, including all information, products, services, and tools available through it, conditioned upon your acceptance of these Terms of Service.

By visiting our website, submitting an inquiry, approving a custom design, placing an order, or purchasing any product or service from us, you agree to these Terms of Service and our Return and Exchange Policy, Privacy Policy, Shipping Policy, and any additional terms presented to you during checkout or a custom-order consultation.

If you do not agree to these Terms, do not use this website or purchase our products or services.

  1. ELIGIBILITY

You must be at least 18 years old and legally capable of entering into a binding agreement to place an order. If you place an order on behalf of another person or business, you represent that you have authority to bind that person or business to these Terms.

You are responsible for providing complete, current, and accurate account, billing, delivery, sizing, customization, and contact information.

  1. PRODUCTS AND JEWELRY REPRESENTATIONS

We make reasonable efforts to describe our jewelry accurately. However, photographs, videos, computer renderings, CAD images, digital models, and displays are illustrative. Colors, proportions, reflections, finishes, gemstone appearance, and perceived size may differ because of lighting, photography, screen settings, manufacturing, polishing, and the natural characteristics of materials.

Natural and laboratory-grown gemstones may contain variations in color, clarity, cut, fluorescence, measurements, inclusions, growth characteristics, and appearance. These characteristics are not necessarily defects.

Unless expressly stated otherwise:

• Dimensions, weights, stone weights, and measurements are approximate
• Finished jewelry may vary slightly from samples, renderings, photographs, or stated measurements
• Total carat weights may represent combined or estimated weights
• Precious-metal weights may vary because of ring size, manufacturing, finishing, polishing, and normal production tolerances
• Gemstone reports apply only to the specific stone identified in the report
• An appraisal, grading report, replacement value, or retail value is not a guarantee of resale value or future market value

We identify laboratory-grown, laboratory-created, treated, simulated, and imitation gemstones as applicable. Product-specific descriptions control over general website language.

  1. PRICES AND AVAILABILITY

Prices, promotions, specifications, and availability may change without notice before an order is accepted. Precious-metal, gemstone, labor, shipping, and supplier costs may fluctuate.

We reserve the right to correct typographical, photographic, pricing, calculation, inventory, or descriptive errors and to cancel or decline an affected order. If we cancel an order after payment because of our error or inability to fulfill it, we will return the applicable amount paid for the unfulfilled merchandise.

Merchandise displayed online may be unavailable, discontinued, sold, or subject to supplier availability. Adding an item to a cart does not reserve it.

  1. ORDER ACCEPTANCE AND VERIFICATION

An order confirmation acknowledges receipt of your order but does not necessarily constitute acceptance. We may verify payment, identity, billing information, delivery information, sizing, specifications, or authorization before accepting or fulfilling an order.

We may refuse, limit, hold, or cancel an order for reasons including suspected fraud, unauthorized resale, payment problems, inaccurate information, inventory issues, pricing errors, legal restrictions, or inability to complete the requested work.

We may require government-issued identification, proof of payment authorization, signature confirmation, or additional verification for high-value transactions. Failure to provide requested verification may result in delay or cancellation.

  1. PAYMENTS, DEPOSITS, AND CHARGEBACKS

You authorize us and our payment providers to charge the payment method submitted for your order and any separately approved additional charges.

Deposits, design fees, CAD fees, consultation fees, sourcing fees, labor charges, rush fees, and payments for custom, personalized, modified, or special-order merchandise become nonrefundable once the applicable service has been performed, materials have been ordered, or work has begun.

If an approved design change, sizing change, material change, stone change, or other customer request increases the price, production will not continue until the additional amount is approved and paid.

Before initiating a chargeback or payment dispute, please contact us at william@palaceandco.com so we can investigate and attempt to resolve the issue. Nothing in this section prevents a customer from exercising a lawful right to dispute a genuinely unauthorized or improperly processed charge.

  1. CUSTOM, PERSONALIZED, AND MODIFIED JEWELRY

Custom jewelry includes any item designed, manufactured, sourced, ordered, engraved, sized, resized, stone-set, personalized, or modified for a customer.

You are responsible for carefully reviewing all names, dates, spellings, dimensions, ring sizes, stone selections, metal selections, engravings, layouts, renderings, and other specifications before approval.

Your written, electronic, verbal, or payment-based approval authorizes us to proceed using the approved specifications. After approval or commencement of work:

• Changes may be unavailable or subject to additional charges and delays
• Materials already purchased and labor already performed are nonrefundable
• Reasonable variations resulting from manufacturing, setting, casting, finishing, polishing, stone cutting, or handmade work are acceptable
• Renderings and models are representations and may not perfectly reproduce the finished piece

Production and completion dates are estimates, not guarantees. Delays may result from design revisions, customer response times, supplier availability, casting, stone sourcing, shipping, equipment, quality-control issues, or events beyond our reasonable control.

ALL CUSTOM, BESPOKE, MADE-TO-ORDER, PERSONALIZED, ENGRAVED, SIZED, RESIZED, ALTERED, REPAIRED, STONE-SET, SPECIAL-ORDERED, OR OTHERWISE MODIFIED JEWELRY IS FINAL SALE AND IS NOT ELIGIBLE FOR RETURN, REFUND, EXCHANGE, CANCELLATION, OR STORE CREDIT, EXCEPT TO THE EXTENT A REMEDY IS REQUIRED BY LAW.

  1. RING SIZING AND FIT

The customer is responsible for providing the correct ring size. Ring fit can be affected by band width, finger shape, temperature, swelling, time of day, and sizing methods.

Unless we made an error by producing a size materially different from the approved order, resizing is not automatically free and may not be possible for every design. Eternity bands, patterned bands, engraved rings, gemstone-intensive designs, tension settings, alternative metals, and certain custom pieces may have limited or no resizing options.

A request to resize a finished item constitutes modification and may result in additional charges, altered appearance, production time, or loss of eligibility for any otherwise available exchange.

  1. CUSTOMER-SUPPLIED DESIGNS, IMAGES, MATERIALS, AND JEWELRY

When you provide a photograph, logo, signature, artwork, design, gemstone, jewelry item, or other material, you represent that:

• You own it or have permission to use and reproduce it
• Our use of it will not violate another person’s copyright, trademark, privacy, publicity, or other rights
• The information you provide about it is accurate

You grant Palace & Co. a limited license to use, reproduce, modify, and manufacture from submitted materials solely as reasonably necessary to evaluate, design, produce, document, and fulfill your project.

You agree to indemnify Palace & Co. against third-party claims arising from materials or instructions you were not authorized to provide, subject to applicable law.

Customer-supplied gemstones and jewelry may contain hidden damage, treatments, prior repairs, porosity, cracks, inclusions, weak settings, incorrect identification, or structural defects that are not visible during ordinary inspection. Work involving such property carries inherent risk. We will exercise reasonable care but cannot guarantee that preexisting, undisclosed, fragile, or structurally compromised materials will withstand inspection, cleaning, setting, repair, heat, pressure, polishing, or manufacturing processes.

We may decline work that we believe is unsafe, impractical, unlawful, infringing, or likely to produce an unacceptable result.

  1. BODY JEWELRY AND HYGIENE-SENSITIVE PRODUCTS

All earrings and body-piercing jewelry are final sale for hygiene and safety reasons, regardless of whether they have been worn, except where a remedy is required by law for defective, damaged, misrepresented, or incorrectly supplied merchandise.

  1. RETURNS AND EXCHANGES

Our Return and Exchange Policy is incorporated into these Terms.

Except as expressly stated in that policy or required by applicable law:

• We do not provide refunds to the original payment method for change-of-mind purchases
• Eligible, non-custom merchandise may be exchanged within 30 calendar days after delivery
• Custom, modified, personalized, special-order, body-piercing, and final-sale merchandise is not eligible for return or exchange

Customers must follow the authorization, packaging, insurance, and return-shipping procedures stated in our Return and Exchange Policy.

  1. SHIPPING, DELIVERY, AND INTERNATIONAL ORDERS

Shipping and completion estimates are not guaranteed delivery dates. Carrier delays, weather, customs, incorrect addresses, access restrictions, verification requirements, and events outside our reasonable control may affect delivery.

You are responsible for providing a secure and accurate delivery address. We may require an adult signature for delivery and may restrict address changes after an order is placed.

If tracking states that a package was delivered but you cannot locate it, notify us promptly and contact the carrier. We will reasonably assist with an available carrier or insurance claim, but the outcome is subject to the carrier’s or insurer’s investigation.

International customers are responsible for import duties, customs fees, brokerage charges, taxes, documentation, and compliance with local import laws unless expressly stated otherwise at checkout. Refusal to pay these charges or retrieve a package does not automatically create a right to a refund.

Nothing in this section transfers risk or limits liability in a manner prohibited by applicable law.

  1. CARE, MAINTENANCE, AND NORMAL WEAR

Jewelry is subject to wear and requires appropriate care and maintenance. Scratches, dents, finish changes, tarnish, rhodium wear, plating wear, loosened stones, stretched chains, damaged prongs, worn settings, and damage caused by impact, chemicals, moisture, heat, improper storage, or everyday use are not necessarily manufacturing defects.

Customers should periodically have fine jewelry inspected and serviced by a qualified jeweler. Failure to maintain prongs, clasps, settings, and other components may result in stone loss or damage.

Unless a separate written warranty expressly states otherwise, Palace & Co. does not provide a lifetime warranty, guarantee against normal wear, or guarantee against loss, theft, accidental damage, or stone loss.

  1. THIRD-PARTY REPORTS AND SERVICES

Independent laboratories, appraisers, manufacturers, suppliers, carriers, payment processors, hosting providers, and other third parties may provide reports, grading opinions, services, or information.

Gemstone grading includes professional judgment, and opinions may vary between laboratories, graders, or appraisers. Palace & Co. does not control or guarantee the independent conclusions, systems, availability, or performance of third parties, except to the extent required by law.

Our website may contain links to third-party websites. We are not responsible for the content, security, availability, or practices of those websites.

  1. WEBSITE CONTENT AND INTELLECTUAL PROPERTY

The website and its original text, photographs, graphics, videos, designs, logos, product names, renderings, layouts, and other content are owned by or licensed to Palace & Co. and are protected by applicable intellectual-property laws.

You may use the website only for personal, lawful shopping and informational purposes. You may not copy, reproduce, scrape, republish, sell, modify, distribute, reverse engineer, or commercially exploit our content without written permission.

Purchasing a custom item does not transfer ownership of Palace & Co.’s underlying CAD files, manufacturing files, molds, design methods, templates, renderings, photographs, or other intellectual property unless a separate written agreement expressly states otherwise.

  1. REVIEWS, FEEDBACK, AND SUBMISSIONS

If you submit a review, photograph, testimonial, comment, suggestion, or other non-confidential content, you grant Palace & Co. a nonexclusive, worldwide, royalty-free license to use, reproduce, edit, publish, display, and distribute that content for lawful business and marketing purposes, subject to our Privacy Policy and applicable law.

You represent that your submission is accurate, based on your genuine experience, does not infringe another person’s rights, and is not unlawful, threatening, defamatory, fraudulent, obscene, or misleading.

We are not obligated to treat unsolicited ideas or general feedback as confidential.

  1. PROHIBITED USES

You may not use the website:

• For unlawful, fraudulent, abusive, or deceptive activity
• To infringe intellectual-property, privacy, or publicity rights
• To transmit malware or interfere with website security or operation
• To scrape, harvest, or misuse customer, business, or website data
• To impersonate another person or submit false payment or delivery information
• To purchase products using unauthorized payment methods
• To evade purchase limits, fraud controls, or legal restrictions

We may suspend or terminate access for prohibited conduct.

  1. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS GENERAL INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DO NOT GUARANTEE THAT THE WEBSITE WILL ALWAYS BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE.

PRODUCT-SPECIFIC EXPRESS WARRANTIES, IF ANY, WILL BE PROVIDED IN WRITING. WE DO NOT DISCLAIM OR LIMIT WARRANTIES, DUTIES, OR CONSUMER RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED OR LIMITED.

  1. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALACE & CO. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF USE, OR BUSINESS INTERRUPTION, ARISING FROM THE WEBSITE, A PRODUCT, OR A SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALACE & CO.’S TOTAL LIABILITY FOR A CLAIM RELATED TO A PARTICULAR ORDER WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO PALACE & CO. FOR THE PRODUCT OR SERVICE GIVING RISE TO THAT CLAIM.

THESE LIMITATIONS DO NOT APPLY TO FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, PERSONAL INJURY CAUSED BY OUR ACTIONS, OR ANY LIABILITY OR CONSUMER REMEDY THAT CANNOT LEGALLY BE LIMITED.

  1. INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Palace & Co. and its owners, employees, contractors, and service providers from third-party claims, liabilities, damages, and reasonable expenses arising from your unlawful use of the website, violation of these Terms, infringement of another person’s rights, or unauthorized materials or instructions you submit.

This provision does not require you to indemnify Palace & Co. for its own fraud, willful misconduct, gross negligence, or other conduct for which indemnification cannot lawfully be required.

  1. PRIVACY

Our collection, use, disclosure, and retention of personal information are governed by our Privacy Policy. Shopify and other service providers may separately process information according to their own terms and privacy practices.

  1. GOVERNING LAW AND DISPUTES

These Terms and transactions with Palace & Co. are governed by applicable federal law and the laws of the State of California, without regard to conflict-of-law principles.

Before filing a legal claim, you and Palace & Co. agree to make a good-faith effort to resolve the dispute by written notice describing the issue and requested resolution. Notices to Palace & Co. must be sent to william@palaceandco.com.

Unless applicable law requires otherwise, any court proceeding relating to these Terms or a transaction with Palace & Co. will be brought in a court of competent jurisdiction serving Riverside County, California.

Nothing in these Terms prevents either party from bringing an eligible matter in small-claims court or exercising a non-waivable statutory right or remedy.

  1. CHANGES TO THESE TERMS

We may update these Terms by posting a revised version and changing the “Last updated” date. Changes apply prospectively from the effective date and do not retroactively alter a completed transaction unless permitted by law and agreed to by the affected customer.

Your continued use of the website after revised Terms become effective constitutes acceptance of the revised Terms for future use and transactions.

  1. SEVERABILITY

If any provision of these Terms is determined to be unlawful or unenforceable, that provision will be enforced to the maximum lawful extent or severed, and the remaining provisions will remain in effect.

  1. NO WAIVER

Our failure to enforce a provision on one occasion does not waive our right to enforce it later. Any waiver must be in writing.

  1. ENTIRE AGREEMENT

These Terms, together with the policies incorporated by reference and any written custom-order invoice, specification, approval, or agreement, constitute the agreement between you and Palace & Co. concerning the applicable transaction.

If a signed or specifically accepted custom-order agreement conflicts with these general Terms, the custom-order agreement controls for that project.
